Equipment Rental Agreement

This Equipment Rental Agreement (“Agreement”) is entered into between EquipMe LLC, a Nevada limited liability company located at 6440 Ponderosa Way, Las Vegas, NV 89118 (“Lessor”) and the Renter identified on the booking confirmation (“Lessee”), as of the booking date.
1. Equipment
Lessor agrees to rent to Lessee the equipment described in the booking confirmation, including make, model, identifier, daily rate, and deposit amount as specified at checkout.
2. Rental Term
The rental term is as specified at booking. Late returns incur late fees per Section 3.
3. Rental Fee, Deposit, and Late Fees
Total rental fee is payable in advance via Stripe. A refundable deposit is held until equipment return and inspection. Late return fee: $50/hour or 1.5× daily rate prorated, whichever is greater, capped at 2× the daily rate.
4. Condition Acknowledgment
Lessee acknowledges equipment is delivered in good working condition and accepts it in its current state subject to any condition issues documented at delivery. Photos and condition notes captured at delivery and return are part of this Agreement.
5. Permitted Use; Operator Qualifications
Equipment is rented solely for the use described at booking. Lessee shall not (a) use equipment for any unlawful purpose; (b) operate equipment while impaired; (c) permit operation by any person not legally qualified to operate the equipment class; (d) sublet, sublease, or transfer the equipment. For equipment requiring a driver's license, the operator must hold a valid, unexpired Nevada or equivalent license appropriate to the equipment class. Equipment shall remain within the agreed-upon geographic area unless Lessor provides prior written consent.
6. Maintenance and Repair Responsibility
Lessee shall perform routine pre-use checks (fluids, tire pressure, visible damage) and shall not operate equipment that fails inspection. Lessee shall not perform repairs or modifications. Mechanical failures during rental shall be reported immediately to (702) 710-5095. Damage caused by Lessee's failure to perform routine checks or by improper operation is Lessee's responsibility.
7. Damage, Loss, and Theft
Lessee is responsible for all damage, loss, or theft of equipment occurring during the rental term, except as covered by an elected Damage Waiver (see /legal/damage-waiver).
If Damage Waiver is elected, Lessee's liability for accidental damage is capped at the $500 deductible. The Damage Waiver does not cover intentional damage, gross negligence, theft without police report, or off-site use without permission.
If Damage Waiver is declined, Lessee bears full liability for repair, replacement, and downtime costs. Theft must be reported to local law enforcement within 24 hours and to Lessor at (702) 710-5095.
8. Insurance
For equipment with a replacement value over $5,000, Lessee shall maintain commercial general liability insurance with a minimum of $1,000,000 per occurrence and shall provide a Certificate of Insurance naming EquipMe LLC as additional insured prior to delivery.
9. Return Condition Standard
Equipment shall be returned (a) clean and free of debris; (b) with fluid levels at or above delivery condition; (c) with all original accessories; (d) at the agreed return time and location. Damage assessed at return is itemized in writing and deducted from the deposit.
10. Default and Repossession
Events of default include (a) failure to return equipment by agreed end time without written extension; (b) failure to pay any amount due; (c) breach of any provision of this Agreement. Upon default, Lessor may, after providing written notice and a reasonable cure period, repossess equipment at Lessee's expense.
11. Limitation of Liability
To the maximum extent permitted by Nevada law, Lessor's aggregate liability arising under this Agreement shall not exceed the total rental fee paid. Lessor is not liable for indirect, incidental, consequential, special, or punitive damages.
12. Indemnity
Lessee shall indemnify, defend, and hold harmless Lessor from any claims, damages, losses, liabilities, and expenses arising from (a) Lessee's use of the equipment; (b) Lessee's breach of this Agreement; (c) Lessee's violation of applicable law; (d) personal injury, property damage, or third-party claims caused by equipment in Lessee's possession.
13. Governing Law and Venue
This Agreement is governed by Nevada law. Exclusive venue for any dispute lies in the state or federal courts located in Clark County, Nevada, except for disputes subject to arbitration under EquipMe Rentals's Terms of Service.
14. Electronic Signature
The parties consent to executing this Agreement by electronic signature pursuant to the Nevada Uniform Electronic Transactions Act (NRS Chapter 719). Electronic signatures have the same legal effect as wet-ink signatures.
15. Entire Agreement
This Agreement, together with EquipMe Rentals's Terms of Service and Privacy Policy and any elected Damage Waiver, constitutes the entire agreement between the parties regarding the equipment rental and supersedes all prior negotiations.
